Thanks...that worked pretty well...except it doesn't seem to work with certain progs icons...such as norton antivirus, Lightroom, Painter, Photoshop cs3, mozilla etc. Is this a dead end or is there a special technique #2 for this??

I don't know.
I usually just let IconPackager change stuff, whilst every so often I'll change one on my desktop to get an idea of how an icon looks.

I think you may be able to do it with iconpackager, just not sure.

For stubborn programs that won't take a changed icon you have to change the icon embedded in the .exe. Open the .exe from within ResHacker, choose Action -> Replace icon, choose the icon you want to change (the first one listed in this case), click Open File with New Icon, browse to the icon you want to appear, hit replace, File -> Save, then exit. Hit refresh in the folder where the program is located and the new icon should appear. If not, rebuild the cache using Icon Packager or TweakUI and then the new icon should show. Enjoy!
