More problems (Please help, still unsolved)

I have another problem in GalCiv2. Or it's something I dont understand. I'll explain it and wait for someone to help me out.
For instance i have a basic factory on a planet and then I find factory by researching. When I click on the basic factory and then click on factory from the available buildings, I cant upgrade it but I can build the newer one on the older version (or buy it, buy option is always there, it's ok). But when I click on the basic factory and choose an irrelevant building such as embassy then I have upgrade and buy options. This seems very illogical to me. In my opinion changing from basic factory to factory is upgrading and changing from basic factory to an embassy is just building it on the other one. By the way, this applies to ALL the buildings in the game not only basic factory to factory but all the building have the same problems (lab, farms, etc..)
